Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of the Clinker India platform, services, websites, and related applications (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.

1. Accounts and Organization Ownership
- An account is required to use the Service. You must provide accurate information and keep credentials confidential.
- Accounts belong to the organization that pays for and administers the workspace. Clinker India may rely on the organization owner/admin instructions for access changes, data export, and seat transfers.
- Admins may invite, suspend, or remove users. Users agree to follow internal policies set by their organization.
- If you learn of unauthorized access or credential compromise, you must notify Clinker India and your admin immediately.
2. Subscription and Billing
- The Service is offered on paid subscription plans with seat-based pricing. Trial plans may be time or seat limited.
- Fees are billed in advance per the selected plan. Taxes (including GST) may apply. Payment processors (such as Razorpay) may be used to process transactions.
- Upgrades or additional seats are billed at the then-current rate. Downgrades take effect at the next billing cycle unless stated otherwise.
- Failure to pay may result in suspension or termination. You remain responsible for fees incurred before termination.
- Refunds are not provided except where required by applicable law.
3. Acceptable Use
- Do not misuse the Service. Prohibited uses include security testing without permission, introducing malware, scraping, interfering with uptime, or attempting to access other tenants' data.
- AI and optimization features must not be used to generate unlawful content, circumvent safety controls, or make automated decisions where prohibited by law.
- You must comply with export controls and sanctions that apply to the Service.
- Clinker India may monitor for abuse and take action including rate limiting, suspension, or referral to authorities.
- Support channels must be used responsibly; excessive or abusive requests may be limited.
4. Data Handling and Privacy
- Clinker India processes Customer Data under your instructions to provide the Service. Customer Data remains owned by your organization.
- We implement technical and organizational measures to protect data, including encryption in transit and at rest, access controls, and audit logging.
- Operational logs and telemetry may be collected to secure, troubleshoot, and improve the Service. These may include IP address, device details, and usage metadata.
- AI features may use data within your tenant boundary; model inputs and outputs are governed by your organization's access controls.
- Data retention follows business needs and legal requirements. Upon termination, Customer Data will be deleted or exported as requested where feasible.
5. Customer Responsibilities
- Maintain secure credentials, enforce least privilege, and configure MFA where available.
- Ensure any data uploaded is lawful, accurate, and does not infringe third-party rights.
- Provide timely cooperation for support requests, including logs or environment details when appropriate.
- Comply with applicable laws, including data protection and export controls.
- Use outputs from optimization or AI features with appropriate human oversight and validation.
6. Intellectual Property
- Clinker India owns the Service, documentation, and underlying technology. No rights are granted except as needed to use the Service under these Terms.
- Feedback may be used to improve the Service without obligation.
- Customer Data remains the property of the organization. You grant Clinker India a limited right to process Customer Data to operate and secure the Service.
7. Confidentiality
- Both parties will protect confidential information using reasonable safeguards and limit use to delivering or receiving the Service.
- Confidentiality obligations do not apply to information already public, independently developed, or obtained lawfully from a third party.
- Required disclosures by law or regulation are permitted with prompt notice where legally allowed.
8. Service Changes and Availability
- We may enhance, update, or modify the Service. Material changes will be communicated through product notices or email.
- We target high availability with maintenance windows scheduled where possible. Emergency changes may occur to protect security or uptime.
- Beta or preview features are provided "as is" and may be changed or removed.
9. Termination
- Either party may terminate for convenience with written notice as permitted by the plan, or for cause if the other party materially breaches these Terms and fails to cure within a reasonable period.
- Upon termination, access will cease. We will cooperate on data export where commercially reasonable and legally permitted.
- Sections relating to confidentiality, intellectual property, limitations of liability, and disclaimers survive termination.
10. Disclaimers
- Except as expressly stated, the Service is provided "as is" and "as available". Clinker India disclaims warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.
- Outputs from AI, analytics, or optimization should be reviewed by qualified personnel before acting.
11. Limitation of Liability
- To the extent permitted by law, Clinker India will not be liable for indirect, incidental, special, or consequential damages, loss of profits, revenue, data, or business interruption.
- Our aggregate liability under these Terms is limited to fees paid for the Service in the twelve months preceding the claim.
- Nothing in these Terms limits liability where such limitation is prohibited by law.
12. Governing Law and Disputes
- These Terms are governed by the laws of India. Venue and jurisdiction will be the competent courts in India unless otherwise required by law.
- Parties will attempt to resolve disputes informally and escalate to senior representatives before formal proceedings where possible.
